YZi Labs Contests CEA Industries' Measures

YZi Labs, backed by Binance founder Changpeng "CZ" Zhao, is intensifying its campaign against CEA Industries, criticizing the new defensive measures adopted by the board, known as the "poison pill," along with changes to internal regulations. These measures are alleged to be "unfavorable to shareholders" and aimed at solidifying the current board's position.

The investment firm detailed its objections in a report sent to the U.S. Securities and Exchange Commission (SEC) on January 5 and in a public statement on January 7. YZi Labs announced it would review CEA's adoption of a shareholder rights plan and changes to internal regulations that affect shareholders' ability to act through written consent.

Industry firms argue that these measures impose "unnecessary restrictions and procedural burdens" beyond Nevada law, warning that further degradation of voting rights could expose the board to potential liability for failing to meet fiduciary duties. YZi Labs aims to obtain a consent solicitation to expand the number of CEA board members and appoint a new team of directors.

In response to activist pressure, CEA previously stated its commitment to its BNB digital asset strategy, emphasizing that it has not launched, nor plans to launch, a competing plan. The company also announced the adoption of a shareholder rights plan and changes to internal regulations, presenting these measures as intended to protect the interests of all shareholders and preserve long-term value.

The YZi team criticized CEA's delay in organizing the 2025 annual meeting and urged the board to avoid any "manipulative behavior" related to scheduling, noting that the meeting will be a "critical venue" for shareholders to vote on board composition. Currently, YZi Labs remains focused on protecting CEA shareholders' rights and promoting the integrity and value of the BNB ecosystem.
